Landbande LDA – Melanie Leal
As of August 2026

Notice

This document is an English translation of the original German version provided for your convenience.

In the event of any discrepancy, inconsistency or translation error, the original German version shall prevail.

§ 1 Scope of Application

(1) All offers, purchase agreements, deliveries and services provided by Landbande Lda (hereinafter referred to as the "Provider") on the basis of orders placed by our customers (hereinafter referred to as the "Customer") via our online shop at www.landbande.com shall be governed exclusively by these General Terms and Conditions.

(2) The Customer's own terms and conditions shall not apply, even if we do not expressly object to their application in individual cases. Conflicting or deviating terms and conditions of business customers shall only become part of the contract if we have expressly agreed to their application in writing.

(3) The contract documents are made available to the customer in German and—where available—in English or Portuguese. The English and Portuguese versions are provided solely for ease of understanding and constitute translations of the German original. In the event of discrepancies, contradictions, or translation errors, the German version shall prevail, unless mandatory statutory provisions dictate otherwise.

§ 2 Our Products and Services

(1) The scope and content of the goods are determined by the product description available on the website of the online shop at www.landbande.com.

(2) The subject matter of the contract is the purchase of goods insofar as the order relates to olive oil (bottles) or other locally produced products. The olive tree sponsorship packages offered in the online shop are product packages combining the purchase of the quantity of olive oil specified in the respective product description with a fixed-term olive tree sponsorship. The olive tree sponsorship includes, in particular, a personalised olive tree sponsorship certificate, the option to name an assigned olive tree, as well as seasonal and ongoing updates about our olive grove by email, via our website (www.landbande.com/olive grove), or through other media channels. The scope and duration of the respective components are specified in the applicable product description.

(3) The olive tree sponsorship does not grant the customer any ownership, possession, usage, exploitation or yield rights in respect of the assigned olive tree or the land on which it is located. For the duration of the sponsorship, the customer is granted the right to give the assigned olive tree a name. The chosen name will be displayed exclusively in digital form on the online map provided. The tree will not be physically marked or labelled on site. Upon expiry of the sponsorship, the naming right will end and the name will be removed from the online map without the need for separate notification.

(4) The displayed tree locations serve solely for visual orientation. They represent approximate locations only and do not constitute an exact geographical allocation of individual trees.

(5) The Provider reserves the right to refuse the publication of tree names that are unlawful, offensive, infringe the rights of third parties or violate public morals. In such cases, the Customer shall have no claim to reimbursement.

(6) The certificate does not grant any further rights in respect of the tree itself. In particular, the Customer shall have no rights with regard to the cultivation, use, maintenance, disposal or proceeds of the olive tree to which the sponsorship relates. Such rights shall remain exclusively with the Provider.

(7) The assigned tree name shall be displayed publicly on the online map only if the Customer expressly consents to the publication of the name by selecting the corresponding checkbox when accepting these General Terms and Conditions.

(8) The Customer agrees that, in connection with the seasonal and ongoing updates referred to in Section 2 (2) of these General Terms and Conditions, they may also receive customer-specific promotional offers and discount campaigns.

During the ordering process, the Customer may refuse this consent by deselecting the corresponding checkbox.

(9) The customer may terminate the ongoing services associated with the olive tree sponsorship package, in particular the display of the chosen name on the online map and the sponsorship updates, before the end of the agreed sponsorship period by giving notice in text form. The termination of these accompanying services does not affect the purchase of the product package already concluded. The name will be removed from the online map promptly upon receipt of the notice. No pro rata refund of the purchase price paid for the product package will be made as a result of the early termination of the accompanying services.

§ 3 Offer, Ordering Process and Conclusion of Contract

(1) Offers and prices contained in brochures, advertisements and other promotional material are subject to change and non-binding.

(2) The Customer shall be bound by any order placed for a period of 14 calendar days. We shall be entitled to accept the offer within this period. Compliance with this period shall be determined by the time at which our acceptance reaches the Customer. Dispatch of the ordered goods shall also constitute acceptance.

(3) To place an order, please proceed as follows:

a) Please select the product(s) you wish to order. By doing so, you place the selected product(s) in your shopping cart.

b) To place your order, please open the "View Shopping Cart" page and check whether all information has been entered correctly. You may make corrections at any time by removing products from the shopping cart or adding additional products.

c) Next, please proceed to the "Enter Order Details" page and enter your billing address and, where applicable, a delivery address different from your billing address. Fields marked with an asterisk (*) are mandatory, as we require this information in order to process your order. Please also select one of the payment methods offered.

d) You then confirm your order by clicking the "Place Order with Obligation to Pay" button. By doing so, you submit a binding offer to enter into a purchase contract.

e) You will immediately receive a confirmation that we have received your offer. As soon as you receive notification from us informing you whether and when your products are expected to be dispatched, your offer shall be deemed accepted.

If an item is not in stock, we will notify you accordingly. If other items included in your order are available, we will process and dispatch those items unless you instruct us otherwise.

Items ordered by you that are not in stock will be delivered subsequently where possible. If subsequent delivery has not been made within 14 days after our declaration of acceptance, you may withdraw your order with respect to the unavailable item(s).

Your statutory right of withdrawal shall remain unaffected.

§ 4 Prices and Payment

(1) All prices include the applicable statutory value-added tax (VAT).

(2) Unless expressly agreed otherwise in writing, our prices shall apply ex warehouse. Postage and packaging costs shall be charged in the amount calculated during the ordering process.

(3) The payment methods currently available will be displayed to the customer during the ordering process.

(4) The customer may only set off its own claims against our claims or withhold performance owed to us if its counterclaims are undisputed, have been finally and legally established, or arise from the same contractual relationship.

§ 5 Delivery and Delivery Time

(1) Unless otherwise stated for a specific product, delivery generally takes place within three to seven working days, but no later than two weeks—after the conclusion of the contract or, in the case of advance payment, after receipt of payment. Different delivery times may apply to custom-designed products; these are specified in the respective offer.

(2) If an agreed delivery date cannot be met, the customer may only exercise their warranty rights after a reasonable grace period has expired without successful performance.

(3) Partial deliveries shall be permitted, provided that they are reasonable for the Customer.

§ 6 Shipping

(1) The goods shall be delivered by shipment from our business premises or our warehouse.

(2) Shipping costs shall be borne by the customer and include the costs of transport insurance taken out by us.

(3) Where the Buyer is an entrepreneur within the meaning of Section 14 of the German Civil Code (BGB), the risk of loss or damage shall pass to the Buyer upon handover of the goods to the transport company.

(4) For further provisions regarding the handling of shipments, please refer to our Shipping Policy.

§ 7 Warranty and Liability

(1) In the event of defects in the goods delivered, the customer shall be entitled to the statutory rights, unless otherwise provided in paragraphs 2 to 6 with regard to claims for damages.

(2) Claims for damages by business customers due to obvious defects in the goods are excluded if the business customer fails to notify us of the defect without undue delay after receipt of the goods.

(3) With regard to entrepreneurs, the warranty period for delivered goods shall be 12 months from the transfer of risk.

(4) Our liability for damages, irrespective of the legal grounds (in particular due to delay, defects or other breaches of duty), shall be limited to the typical foreseeable damage arising under the contract.

(5) The above limitation of liability shall not apply to liability arising from intentional misconduct or gross negligence, liability for guaranteed characteristics, liability for injury to life, body or health, or liability under the German Product Liability Act (Produkthaftungsgesetz).

(6) Once the seal of the goods has been broken, the goods may no longer be returned.

§ 7a Personalized Products

(1) In the case of individually designed products, the Customer is obliged to carefully review the content provided (e.g. texts, logos) before placing the order.

(2) The Provider shall not be liable for any content-related errors contained in materials submitted by the Customer.

(3) By placing the order, the Customer confirms that they hold all necessary rights to the submitted content. The Provider shall be entitled to refuse performance if there are reasonable grounds to believe that the submitted content infringes the rights of third parties or violates public morals.

§ 8 Retention of Title

We retain title to the delivered goods until the purchase price for such goods has been paid in full.

§ 9 Crowdfunding Projects

(1) From time to time, the Provider publishes crowdfunding projects on the website of its online shop or through other online channels. Participation in such a project constitutes a donation within the meaning of Section 516 of the German Civil Code (BGB). No entitlement to any consideration shall arise.

(2) The Provider shall ensure that all donations are used for their intended purpose. The Donor shall not be entitled to determine in greater detail how the donations are to be used. Rather, the Provider may allocate the donations at its reasonable discretion for the fulfilment of the intended purpose. Any conditions imposed by the Donor shall be ineffective.

(3) The Provider shall publish updates relating to the crowdfunding project on the website of the online shop or through other online channels as appropriate.

(4) Upon request, the Donor may obtain information regarding the intended use of the donations. The Provider shall provide such information within a reasonable period of time.

(5) If delays occur in the implementation of the crowdfunding project, or if the implementation becomes impossible for reasons beyond the Provider's control, the Provider shall not be liable.

(6) Any funds that have not been used shall be refunded.

(7) In the case of recurring support payments (ongoing donations), the Customer may terminate such payments at any time by giving notice in text form, effective at the end of the respective calendar month.

§ 10 Data Protection

We may process and store data relating to the respective contracts only within the scope permitted by the applicable statutory provisions. Further details are set out in our Privacy Policy available on our website.

§ 11 Applicable Law and Jurisdiction

(1) Subject to mandatory provisions of private international law, the contractual relationship between us and the Customer shall be governed exclusively by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

(2) If the Customer is an entrepreneur within the meaning of Section 14 of the German Civil Code (BGB), the courts of Frankfurt am Main, Germany, shall have exclusive jurisdiction over all disputes arising out of or in connection with the respective contractual relationship.

In all other cases, the parties may bring proceedings before any court having jurisdiction under the applicable statutory provisions.

§ 12 Severability Clause

Should any provision of these General Terms and Conditions be or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.

Should these General Terms and Conditions contain any gaps, such gaps shall be filled by such legally valid provisions as the contracting parties would have agreed upon, taking into account the economic purpose of the contract and the purpose of these General Terms and Conditions, had they been aware of the omission.
